Operator Agreement

This agreement governs the relationship between Drive Connect and independent vehicle operators participating in the Drive Connect marketplace.

Operator Classification Notice

Operators are independent contractors, not employees or agents of Drive Connect. Drive Connect provides marketplace infrastructure. Operators own and operate their vehicles independently. This agreement establishes the terms under which Operators access and use the Drive Connect marketplace infrastructure.

1. Operator Status and Independence

Operators are independent contractors who own and operate vehicles independently of Drive Connect. Drive Connect provides marketplace infrastructure, payment administration, and trust systems. Drive Connect does not direct, control, or supervise Operator business operations.

Operators retain full control over: - Vehicle pricing and availability - Booking acceptance and rejection - Vehicle rules and requirements - Customer interaction and communication - Business operations and fleet management

Drive Connect does not guarantee any minimum booking volume, revenue, or business outcomes for Operators.

2. Operator Eligibility Requirements

To participate in the Drive Connect marketplace, Operators must:

- Be a legal entity or individual of legal age in their jurisdiction - Own or have legal authority to list the vehicles on the platform - Maintain valid commercial auto insurance meeting Drive Connect's minimum coverage requirements - Provide accurate vehicle documentation including title, registration, and inspection records - Complete Drive Connect's Operator verification process - Maintain vehicles in safe, roadworthy condition - Comply with all applicable federal, state, and local laws and regulations

Drive Connect reserves the right to reject or revoke Operator status at its sole discretion.

3. Vehicle Listing Requirements

Operators must accurately represent their vehicles in all listings, including:

- Current, accurate photos of the vehicle's actual condition - Accurate vehicle specifications (make, model, year, mileage) - Accurate disclosure of any damage, modifications, or limitations - Accurate pricing with all fees disclosed - Accurate availability information - Complete disclosure of vehicle rules and requirements

Operators may not list vehicles they do not own or have legal authority to list. Operators may not list vehicles that are subject to active recalls that affect safety.

4. Operator Fees and Revenue

Drive Connect charges Operators a marketplace allocation fee for each completed transaction. The fee structure is disclosed in the Operator Dashboard and may be updated with 30 days' notice.

Revenue settlement: Drive Connect collects the total rental payment from the Renter and remits the Operator's allocation within the settlement period specified in the Operator Dashboard. Drive Connect deducts its marketplace allocation before remitting to the Operator.

Operators are responsible for all applicable taxes on their rental income. Drive Connect may issue 1099 forms as required by applicable tax law.

5. Insurance Requirements

Operators must maintain commercial auto insurance with minimum coverage limits specified by Drive Connect. Insurance must be:

- Active and in force at all times vehicles are listed on the platform - Provided by a carrier licensed in the Operator's jurisdiction - Sufficient to cover the vehicles listed on the platform - Updated in the Operator Dashboard when policies change or renew

Drive Connect may suspend Operator listings if insurance coverage lapses or falls below minimum requirements.

Drive Connect does not provide insurance to Operators. Protection Plans provided by Drive Protection Inc. are for Renters — not Operators.

6. Vehicle Condition and Maintenance

Operators are solely responsible for maintaining their vehicles in safe, roadworthy condition. Operators must:

- Perform regular maintenance in accordance with manufacturer recommendations - Address mechanical issues promptly - Ensure vehicles pass applicable safety inspections - Disclose known defects or issues in vehicle listings - Remove vehicles from the platform if they become unsafe

Drive Connect is not responsible for vehicle condition, maintenance, or mechanical failures.

7. Booking Management

Operators may accept, counter, or decline booking requests at their discretion. Operators who accept bookings are committed to honoring those bookings. Repeated cancellations of accepted bookings may result in account suspension.

Operators must complete pre-rental and post-rental vehicle inspections and upload documentation through the Drive Connect platform. This documentation is required for any damage claims.

8. Damage Claims

If a Renter causes damage to an Operator's vehicle, the Operator may file a damage claim through the Drive Connect platform. The claims process requires:

- Pre-rental and post-rental photo documentation - Written description of the damage - Repair estimates from licensed repair facilities - Filing within 48 hours of vehicle return

Drive Connect provides document management support for damage claims. Claims are filed against the Renter's personal auto insurance or Protection Plan. Drive Connect is not responsible for damage claim outcomes.

9. Operator Conduct Standards

Operators must maintain professional conduct in all interactions with Renters and Drive Connect. Prohibited conduct includes:

- Misrepresenting vehicle condition or availability - Discriminating against Renters in violation of applicable law - Harassing or threatening Renters - Circumventing Drive Connect's payment administration system - Providing false information to Drive Connect - Engaging in fraudulent transactions

Violations of conduct standards may result in immediate account suspension and legal action.

10. Term and Termination

This agreement is effective upon Operator approval and continues until terminated by either party. Operators may terminate this agreement by closing their account. Drive Connect may terminate this agreement at any time with or without cause.

Upon termination, Drive Connect will settle any outstanding Operator payments within the standard settlement period. Operators remain responsible for all obligations arising from transactions completed before termination.

11. Dispute Resolution

Disputes between Drive Connect and Operators are subject to the binding arbitration and class action waiver provisions in the Drive Connect Terms of Service. See the Dispute Resolution Policy for the complete dispute resolution process.
